Terms of Service

1. Acceptance of Terms

By accessing or using SkillPath, you agree to be bound by these Terms of Service. If you are using SkillPath on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorised use of your account. Accounts are non-transferable.

3. Subscription & Billing

Subscriptions are billed monthly or annually as selected at checkout. All prices are exclusive of applicable taxes. Refunds are available within [REPLACE: YOUR REFUND WINDOW, e.g. 14 days] of purchase if fewer than 10% of learning modules have been accessed.

4. Content Ownership

You retain full ownership of content you create on SkillPath (courses, assessments, certificates). SkillPath retains ownership of the platform, UI components, and proprietary algorithms. You grant SkillPath a licence to host and display your content for service delivery.

5. Acceptable Use

You agree not to use SkillPath to distribute malware, infringe intellectual property, harass users, or violate applicable laws. We reserve the right to suspend accounts that violate these terms.

6. Service Level

SkillPath targets 99.9% uptime for all paid plans. Enterprise customers receive an SLA guarantee. Scheduled maintenance windows are communicated 48 hours in advance.

7. Limitation of Liability

To the maximum extent permitted by law, SkillPath's total liability shall not exceed the amount paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

8. Governing Law and Dispute Resolution

IMPORTANT NOTICE — ARBITRATION AGREEMENT, CLASS ACTION WAIVER, AND JURY TRIAL WAIVER. The dispute-resolution clause below requires you to resolve disputes through individual binding arbitration rather than in court, waives your right to participate in a class, collective, or representative action, and waives your right to a jury trial. You may opt out of this arbitration agreement by sending written notice to [CUSTOMISE: opt-out email or postal address] within 30 days of first accepting these Terms. If you opt out, neither party will be bound by the arbitration provisions, but the remainder of these Terms will continue to apply.

These terms are governed by the laws of the State of California, USA. Disputes shall be resolved through binding arbitration in San Francisco, CA.
